Website Services Agreement

By purchasing services from Backbone Web Services (“Backbone”), the client agrees to the following terms.

1. Services Provided

Backbone Web Services provides digital infrastructure and website development services, including website build/remodel work, hosting setup, maintenance, and support based on the package you purchase.

Client businesses remain responsible for the accuracy of their website content and compliance with applicable laws and regulations.

Services may include:

  • website rebuilds
  • performance optimization
  • hosting infrastructure
  • monitoring and maintenance
  • minor content updates

Reasonable revisions are included as part of the final project phase. Major changes, redesigns, or new features outside the original scope may require additional work and cost.

Work outside the scope of purchased services may require additional fees.

2. Payment Terms

Build or remodel projects require payment according to the following structure unless otherwise agreed in writing:

  • 50% deposit due before work begins
  • 50% final payment due before website launch
  • Website Care Plan — billed monthly in advance

Monthly care plans automatically renew unless cancelled.

Backbone reserves the right to pause services if payments fail or remain unpaid.

3. Refund Policy

Deposits reserve time and project capacity and are non-refundable once work begins.

Final payments are non-refundable after delivery of agreed project scope. If a cancellation occurs before completion, the client is responsible for work performed up to the cancellation date.

4. Scope of Monthly Care Plan

The Website Care Plan includes:

  • hosting infrastructure
  • uptime monitoring
  • routine maintenance
  • minor website edits

The care plan does not include major redesigns, large content additions, or new development features unless agreed separately.

5. Client Content Responsibility

The client is responsible for ensuring they have the legal right to use all content provided for the website, including:

  • text
  • images
  • logos
  • branding materials

Backbone is not responsible for copyright violations related to client-supplied content.

6. Intellectual Property Ownership

Client-owned materials (including logos, text, and images provided by the client) remain the property of the client or their respective owners.

Upon full payment, the client receives rights to the final approved website deliverables created for the project, excluding third-party software, platform services, and licensed assets governed by their own terms.

7. Third-Party Services

Websites may rely on third-party providers including hosting platforms, domain registrars, and payment processors.

Backbone is not responsible for outages or disruptions caused by these external services.

Examples include providers such as Vercel and Stripe.

8. Performance Disclaimer

Backbone Web Services does not guarantee:

  • search engine rankings
  • website traffic levels
  • lead generation results

While performance improvements may be implemented, business outcomes depend on many factors beyond website infrastructure.

9. Security

Reasonable security practices are implemented; however, no website can be guaranteed completely secure.

Backbone is not liable for damages resulting from hacking, malware, or other malicious activity.

10. Termination

Either party may terminate services with written notice.

Upon termination:

  • hosting and maintenance services will end
  • the client remains responsible for any outstanding invoices

11. Limitation of Liability

Backbone Web Services’ total liability for any claim related to services provided shall not exceed the amount paid by the client to Backbone in the previous three months.

12. Dispute Resolution

The parties agree to first attempt to resolve disputes through good-faith written negotiation.

If a resolution cannot be reached, disputes will be handled under applicable law in the client's and service provider's agreed jurisdiction, unless otherwise required by law.

13. Acceptance

By purchasing services or subscribing to a care plan, the client confirms that they have read and agree to this agreement.
